Our management consulting services are provided subject to separate consulting agreements that will specify the scope of work, deliverables, timelines, and fees. These Terms of Service supplement but do not replace any consulting agreement between you and hexalab. In the event of any conflict between these Terms and a consulting agreement, the consulting agreement shall prevail with respect to the specific services covered by that agreement.
All content on our website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and software, is the property of hexalab or its content suppliers and is protected by Austrian and international copyright laws. The compilation of all content on this site is the exclusive property of hexalab and is protected by Austrian and international copyright laws. We recognise the confidential nature of information shared during our consulting engagements. We maintain strict confidentiality protocols and will not disclose any confidential information without your express written consent, except as required by law. Similarly, you agree to maintain the confidentiality of any proprietary methodologies, tools, or information shared by hexalab during our engagement.
Payment terms for our consulting services will be specified in individual consulting agreements. Unless otherwise agreed, invoices are payable within 30 days of the invoice date. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for overdue accounts.
To the fullest extent permitted by Austrian law, hexalab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services. Our total liability to you for all claims arising from or related to our services shall not exceed the amount paid by you to hexalab in the twelve months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.
Our website and services are provided "as is" and "as available" without any representations or warranties, express or implied. We make no representations or warranties in relation to our website or the information and materials provided on our website. Without prejudice to the generality of the foregoing paragraph, we do not warrant that our website will be constantly available, or available at all, or that the information on our website is complete, true, accurate, or non-misleading.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the Austrian courts, with the courts of Klagenfurt, Austria having primary jurisdiction.

hexalab shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature or acts of God, wars, terrorism, riots, civil disorders, rebellions or revolutions, or any other cause beyond our reasonable control. In such event, we will use reasonable efforts to mitigate the impact and resume performance as soon as reasonably possible.
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law. The failure of hexalab to enforce any right or provision of these Terms will not be considered a waiver of those rights.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
